Terms of Service
Applicability
These terms apply to all offers, assignments and agreements between Made in Code and its clients, unless otherwise agreed in writing.
Services
Made in Code provides custom web design and development of websites, webshops, platforms and mobile applications, plus maintenance and ongoing development. The exact scope, deliverables and price are defined per engagement in a quote or statement of work.
Quotes and formation
Quotes are non-binding and valid for 30 days unless stated otherwise. An agreement is formed when the client accepts the quote in writing (email is sufficient).
Intellectual property
Unless otherwise agreed in writing, Made in Code transfers the copyright in source code, designs and assets specifically developed for the client to the client upon full payment. Generic components, frameworks and open-source libraries remain the property of their original authors and are used under their own licences.
Pricing and payment
Prices are in euros and exclusive of VAT. Payment is due within 14 days of the invoice date. Overdue invoices accrue statutory commercial interest by operation of law.
Liability
Made in Code's liability is in all cases limited to the amount paid out under its professional liability insurance for the relevant case, and failing that, to the amounts invoiced for the relevant engagement during the past three months. Made in Code is not liable for indirect damages, consequential losses or lost profits.
Confidentiality
Both parties undertake to keep confidential any confidential information they receive in the course of the engagement. This obligation survives termination of the agreement.
Governing law
All agreements with Made in Code are governed exclusively by Dutch law. Disputes are submitted to the competent court in the district where Made in Code is registered.
